Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Strabella LLC d/b/a SEOVIA (“Seovia,” “we,” “us,” or “our”), governing your access to and use of the Seovia platform, website (seovia.org), and all related services (collectively, the “Service”).

By creating an account, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to “you” shall include that organization.

2. Service Description

Seovia is an AI-powered search engine optimization (SEO) platform designed for businesses and marketing professionals. The Service provides, without limitation, the following capabilities:

• Comprehensive SEO audits and technical site analysis
• AI-powered content generation and optimization
• Keyword research, tracking, and rank monitoring
• Competitor analysis and benchmarking
• Local SEO management, including Google Business Profile optimization and citation building
• Reddit marketing automation (“Reddit Autopilot”)
• Programmatic SEO and bulk page generation
• CMS integrations (Shopify, WordPress, Webflow, and others)
• Analytics dashboards and reporting
• AI-assisted chat and strategic recommendations

The specific features available to you depend on your subscription plan. We reserve the right to modify, enhance, or discontinue any feature of the Service at any time with reasonable notice.

3. Account Registration

To access the Service, you must create an account. By registering, you represent and agree that:

• You are at least 18 years of age or the age of legal majority in your jurisdiction.
• All information you provide during registration is accurate, complete, and current.
• You will maintain and promptly update your account information as necessary.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You will not create more than one account per individual, nor share account access with unauthorized parties.
• You will immediately notify us at support@seovia.org if you become aware of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that we reasonably believe contain false or misleading information, violate these Terms, or are used for fraudulent or abusive purposes.

4. Plans and Billing

Seovia offers the following subscription plans:

Auto-Renewal. All subscriptions automatically renew at the end of each billing cycle (monthly or annual) unless you cancel before the renewal date. You authorize us to charge your payment method on file for each renewal period.

Cancellation. You may cancel your subscription at any time through your account settings or by contacting support@seovia.org. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial billing periods.

Price Changes. We may adjust pricing with at least 30 days' written notice. Continued use of the Service after a price change constitutes your acceptance of the new pricing.

5. AI Content & Automation Disclaimer

Seovia utilizes artificial intelligence to generate content, recommendations, and automated actions. You acknowledge and agree to the following:

• Content Accuracy. AI-generated content may contain factual inaccuracies, grammatical errors, or outdated information. You are solely responsible for reviewing, editing, and verifying all AI-generated content before publishing or distributing it.
• No Guarantee of Quality. While we strive to deliver high-quality output, we do not warrant that AI-generated content will meet your specific requirements, be error-free, or achieve any particular outcome.
• Reddit Autopilot. The Reddit Autopilot feature posts content on your behalf using your connected Reddit account. By enabling this feature, you acknowledge and accept that:
  • Seovia is NOT responsible for any Reddit account bans, suspensions, restrictions, shadowbans, or other consequences resulting from automated posting.
  • Automated posting may violate Reddit's terms of service, and you assume all risk associated with such actions.
  • You are solely responsible for the content posted through Reddit Autopilot and its compliance with applicable laws and Reddit's policies.
• Publishing Responsibility. Any content published to third-party platforms through Seovia (including but not limited to blog posts, social media posts, and Reddit submissions) is published under your authority and at your sole risk.

6. Third-Party Integrations

The Service allows integration with third-party platforms and services, including but not limited to Google (Analytics, Search Console, Business Profile), Shopify, WordPress, Webflow, Reddit, Facebook, and Microsoft. With respect to these integrations:

• Your use of third-party platforms remains subject to those platforms' respective terms of service and privacy policies.
• Seovia is not responsible for any changes, outages, API modifications, rate limiting, or account actions taken by third-party platforms.
• We do not guarantee continued availability of any third-party integration and may modify or remove integrations as necessary.
• You are responsible for maintaining valid credentials and authorizations for connected third-party accounts.

7. No Guarantee of Results

SEO is influenced by numerous factors beyond the control of any platform or service provider. Seovia makes no guarantees, representations, or warranties regarding:

• Search engine rankings or ranking improvements
• Website traffic volume or quality
• Lead generation, conversion rates, or revenue outcomes
• Search engine indexing speed or completeness
• Visibility in AI search results (e.g., ChatGPT, Perplexity, Google AI Overviews)
• Social media engagement or follower growth

Results depend on factors including, but not limited to, search engine algorithm changes, competitive landscape, website quality, content relevance, domain authority, and market conditions. Any case studies, testimonials, or examples shared by Seovia are illustrative and do not guarantee similar results.

8. Intellectual Property

Seovia's Property. The Service, including all software, algorithms, user interfaces, designs, templates, documentation, and proprietary methodologies, is owned by Strabella LLC and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business purposes during the term of your subscription.

Your Content. You retain all ownership rights in the content and data you provide to or create through the Service (“User Content”). By using the Service, you grant Seovia a limited, non-exclusive, worldwide license to process, store, analyze, and display your User Content solely for the purpose of providing and improving the Service.

Feedback. Any suggestions, ideas, or feedback you provide regarding the Service may be used by Seovia without obligation or compensation to you.

9. Data and Privacy

Your privacy is important to us. Our collection, use, and handling of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

You are responsible for ensuring that any data you provide to or process through the Service complies with applicable data protection laws, including obtaining any necessary consents from individuals whose data you may upload or process.

10. Credit System

Certain features of the Service operate on a credit-based system. The following terms apply:

• Monthly Allocation. Each subscription plan includes a monthly allocation of credits as described on the pricing page. Credits are replenished at the start of each billing cycle.
• No Rollover. Unused credits do not carry over to the next billing cycle. Credits expire at the end of each billing period.
• Additional Credits. You may purchase additional credits at any time through the Service. Purchased credits are available immediately and expire at the end of the current billing cycle unless otherwise stated.
• Refunds. Credit purchases are non-refundable once credits have been consumed. Unused purchased credits may be refunded within 14 days of purchase at our discretion.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT SHALL SEOVIA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
• SEOVIA'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO SEOVIA DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
• THE FOREGOING LIMITATIONS APPLY EVEN IF SEOVIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12. Indemnification

You agree to defend, indemnify, and hold harmless Seovia, Strabella LLC, and their respective officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service or any content you publish, distribute, or transmit through the Service.
• Your violation of these Terms or any applicable law or regulation.
• Your instructions or configurations within the Service that lead to third-party claims.
• Any violation of third-party platform terms of service resulting from your use of Seovia's automation features.
• Any infringement of third-party intellectual property rights caused by your User Content.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, SEOVIA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, DATA, OR RESULTS PROVIDED THROUGH THE SERVICE.

You acknowledge that you use the Service at your own risk and discretion.

14. Termination

By You. You may terminate your account at any time through your account settings or by contacting support@seovia.org. Termination takes effect at the end of your current billing period.

By Seovia. We may suspend or terminate your account and access to the Service immediately, without prior notice, if we reasonably determine that you have violated these Terms, engaged in fraudulent or abusive conduct, or if required by law.

Effect of Termination. Upon termination:

• Your right to access and use the Service ceases immediately (or at the end of the billing period, for voluntary cancellations).
• You will have a 30-day window following termination to export your data. After this period, we may permanently delete your data in accordance with our Privacy Policy.
• Any outstanding fees remain payable.
• Sections of these Terms that by their nature should survive termination (including Limitation of Liability, Indemnification, Disclaimer of Warranties, and Dispute Resolution) shall survive.

15. Dispute Resolution

Binding Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures. The arbitration shall take place in Orange County, California, and shall be conducted by a single arbitrator.

Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Jury Trial Waiver. TO THE EXTENT PERMITTED BY LAW, YOU AND SEOVIA EACH WAIVE THE RIGHT TO A JURY TRIAL IN ANY COURT PROCEEDING.

Exceptions. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Orange County, California, and you consent to the personal jurisdiction of such courts.

17. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this page and may notify you via email or through the Service. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and terminate your account.
